By accessing or using The Life Circle platform, website, mobile application, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and The Life Circle Company ("we," "us," or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Services

The Life Circle is a platform that connects seniors with verified caregivers, volunteers, and service providers. Our Services include:

  • Matching seniors with verified caregivers for various support services
  • Facilitating medical visits, companionship, and home assistance
  • Providing a platform for volunteers to offer community service
  • Connecting partners with our user community
  • Background verification and safety checks for caregivers
  • Payment processing and service coordination

We act as an intermediary platform and do not directly provide caregiving services. All caregiving services are provided by independent third-party caregivers.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to create an account. If you are creating an account on behalf of a senior, you must have legal authority to do so.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason we deem necessary to protect our platform and users.

4. User Responsibilities

4.1 Seniors and Family Members

As a user of our Services, you agree to:

  • Provide accurate information about your needs and requirements
  • Treat caregivers and service providers with respect and dignity
  • Pay for services in a timely manner as agreed
  • Comply with all applicable laws and regulations
  • Not use the Services for any illegal or unauthorized purpose
  • Not interfere with or disrupt the Services or servers

4.2 Caregivers and Service Providers

If you are a caregiver or service provider, you agree to:

  • Complete all required background checks and verifications
  • Provide services in a professional, safe, and competent manner
  • Maintain appropriate licenses, certifications, and insurance
  • Respect the privacy and dignity of all clients
  • Comply with all applicable healthcare and caregiving regulations
  • Report any safety concerns or incidents immediately

5. Service Fees and Payments

5.1 Service Fees

Our Services may include fees for platform usage, service coordination, and payment processing. All fees are clearly displayed before you confirm a service request. We reserve the right to modify our fee structure with reasonable notice.

5.2 Payment Processing

Payments are processed through secure third-party payment processors. You agree to provide valid payment information and authorize us to charge your payment method for all fees and charges incurred.

5.3 Refunds

Refund policies vary depending on the type of service and circumstances. Please contact our support team for refund requests. We reserve the right to refuse refunds in cases of fraud, abuse, or violation of these Terms.

6. Background Checks and Verification

We conduct background checks and verification processes for caregivers and service providers. However, we cannot guarantee the accuracy or completeness of all information. Users should exercise their own judgment and due diligence when selecting caregivers.

We are not responsible for the conduct, actions, or omissions of any caregiver or service provider, even if they have been verified through our platform.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LIFE CIRCLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Services
  • Any conduct or content of third parties on the Services
  • Any unauthorized access to or use of our servers or data
  • Any interruption or cessation of transmission to or from the Services
  • Any bugs, viruses, or similar items transmitted through the Services
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content
  • The quality, safety, or legality of services provided by caregivers

Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free. We do not guarantee the quality, safety, or legality of services provided by caregivers or service providers.

We are not a healthcare provider and do not provide medical advice, diagnosis, or treatment. Our Services are not a substitute for professional medical care.

9. Indemnification

You agree to indemnify, defend, and hold harmless The Life Circle, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any services you provide or receive through the platform

10. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are owned by The Life Circle or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent.

11. Privacy

Your use of the Services is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

12. Prohibited Uses

You agree not to use the Services:

  • For any unlawful purpose or to solicit others to perform unlawful acts
  • To violate any international, federal, provincial, or local regulations, rules, or laws
  • To infringe upon or violate our intellectual property rights or the rights of others
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
  • To submit false or misleading information
  • To upload or transmit viruses or any other type of malicious code
  • To collect or track personal information of others
  • To spam, phish, pharm, pretext, spider, crawl, or scrape
  • For any obscene or immoral purpose
  • To interfere with or circumvent the security features of the Services

13. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association, except where prohibited by law.

You agree to first contact us to attempt to resolve any dispute informally before initiating arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
